These Wholesale Terms apply to all business-to-business wholesale orders placed with All of Me Inspired. Payment of an invoice constitutes acceptance of these Terms. The version provided with the applicable invoice governs that order.
1. Orders and Payment
All of Me Inspired is the seller of record and is responsible for invoicing, payment processing, and fulfillment.
Payment is due in full upon receipt of the invoice using the payment method provided. Orders are confirmed, and inventory is reserved, only after payment has been received.
Quoted prices and reserved inventory may be withdrawn if payment is not received within seven (7) calendar days of the invoice date.
2. Minimum Order Quantity
The minimum wholesale order quantity is 10 units per product unless otherwise agreed in writing.
Different minimum quantities may apply to particular products, preorders, or promotional offers.
3. Pricing, Resale Documentation and Taxes
Wholesale prices and any suggested retail prices will be shown on the invoice, wholesale catalog, or order documentation.
The buyer is free to determine its own retail prices when selling through authorized sales channels.
Buyers claiming a sales tax exemption must provide a valid resale or exemption certificate and any other documentation reasonably requested by All of Me Inspired. Buyers are responsible for maintaining the qualifications necessary for any claimed exemption and for notifying All of Me Inspired of any change affecting their exemption status.
Applicable sales tax may be charged when valid exemption documentation has not been provided or when an order does not qualify for an exemption.
The buyer is responsible for collecting, reporting, and paying applicable taxes arising from its resale of the products.
Wholesale pricing and individual order terms may not be published or shared outside the buyer's business, except with employees, professional advisors, or service providers who need the information for the order.
4. Shipping and Delivery
Shipping charges are based on the merchandise subtotal:
$150–$299.99: $30 shipping
$300–$599.99: $50 shipping
$600–$999.99: $75 shipping
$1,000 and over: Calculated separately
The minimum order quantity of 10 units per product still applies.
Orders combining different products will have shipping quoted and confirmed before payment.
These rates apply to orders shipped to one address within the continental United States. Additional charges may apply for remote locations, expedited shipping, split shipments, or special handling.
Shipping rates may be adjusted in the future based on carrier and fulfillment costs.
In-stock orders typically ship within 5–7 business days after payment is received. Lead times for large orders, preorders, backorders, or production orders will be communicated before payment.
Estimated production, shipment, and delivery dates may vary depending on inventory availability, order size, manufacturing schedules, or carrier delays.
5. Shipping Area and Addresses
Orders are available for delivery within the continental United States.
Shipping to Alaska, Hawaii, US territories, or international destinations may be available by prior written agreement.
The buyer is responsible for any additional shipping, customs, duty, tax, or import costs unless otherwise agreed in writing.
The buyer is responsible for providing a complete and accurate delivery address.
If an order is returned as undeliverable because of an incorrect or incomplete address supplied by the buyer, the buyer is responsible for return charges and the cost of reshipping the order.
6. Risk of Loss and Carrier Issues
Risk of loss passes to the buyer once the order has been handed to the shipping carrier.
All of Me Inspired is not responsible for carrier delays, loss or damage occurring in transit but will provide reasonable assistance with carrier claims and, where appropriate, submit a claim to the carrier.
The buyer must provide any photographs, packaging, documentation, or other information reasonably required to support a carrier claim.
Suspected nondelivery must be reported within seven (7) calendar days after the carrier’s estimated delivery date.
If tracking shows that an order was delivered but the buyer has not received it, the buyer must notify All of Me Inspired within seven (7) calendar days of the recorded delivery date.
7. Damaged, Defective, Incorrect or Missing Products
Damaged, defective, incorrectly supplied or missing products must be reported within seven (7) calendar days of delivery.
Claims must include the invoice or order number, a description of the issue, the quantity affected, and clear photographic evidence where applicable.
The buyer must retain the affected products and packaging while the claim is being reviewed.
Once a claim has been verified, All of Me Inspired may replace the affected products, issue a credit or refund the amount paid for the affected products.
Claims submitted outside the reporting period may not be accepted.
All of Me Inspired is not responsible for damage caused after delivery by improper storage, handling, alteration, or repackaging.
8. Refunds and Cancellations
All wholesale sales are final.
Orders may be canceled before payment is received.
Once payment has been received and an order is confirmed, cancellations are not permitted unless approved in writing by All of Me Inspired.
If an exception is approved, any refund may be reduced by nonrecoverable costs already incurred, including payment processing, production, packaging, freight, or other fulfillment expenses.
9. Product Availability
Product availability is subject to change.
If a product becomes unavailable or backordered, the buyer will be informed as soon as reasonably possible.
If a paid product cannot be supplied, the buyer will be offered an alternative product, an account credit with the buyer’s agreement, or a refund for the unavailable portion of the order.
10. Authorized Sales Channels
Products may be resold through the buyer’s own physical retail location or independently operated retail website.
Products may not be listed, advertised, or sold through third-party marketplaces without prior written permission from All of Me Inspired.
This includes, but is not limited to, Amazon, eBay, Walmart Marketplace, Etsy, Temu, Wish and similar third-party marketplace platforms.
Products may not be sold, transferred or supplied to another wholesaler, distributor, reseller or third party for further resale without prior written permission from All of Me Inspired.
The buyer may determine its own retail prices when selling through authorized sales channels.
11. No Exclusivity
No order grants the buyer territorial, geographic, customer, product-category or sales-channel exclusivity unless expressly agreed in writing by All of Me Inspired.
12. Intellectual Property and Brand Use
All intellectual property relating to the products, packaging, branding, images and written materials remains the property of All of Me Inspired or the relevant rights holder.
Products and packaging may not be copied, reproduced, altered, repackaged or rebranded without prior written permission.
The buyer may use approved product names, descriptions, images, and marketing materials supplied or approved by All of Me Inspired solely to advertise and sell genuine products purchased directly from All of Me Inspired.
These materials may not be materially altered without prior written permission.
13. Product Use and Claims
All of Me Inspired products are designed to support personal growth, self-reflection, goal setting, mindfulness, and self-care. Products are intended for personal development and informational purposes and are not a substitute for professional medical, mental health, legal, or financial advice.
Individual experiences and results may vary. All of Me Inspired does not guarantee specific outcomes from the use of its products.
Buyers may use approved product descriptions and claims when marketing or reselling the products and may not make unauthorized medical, therapeutic, financial, or other claims or represent that any product guarantees a specific result.
14. Right to Refuse or Cease Supply
All of Me Inspired may decline or limit future orders and may cease supplying a buyer who:
- Breaches these terms
- Fails to pay amounts due
- Misuses the brand
- Makes unauthorized product claims
- Sells through an unauthorized channel
- Supplies products to another unauthorized reseller
Ending the wholesale relationship does not affect rights or obligations relating to orders already accepted.
15. Limitation of Liability
To the fullest extent permitted by law, All of Me Inspired's liability for any claim arising from an order is limited to the amount paid for that order. All of Me Inspired is not liable for indirect, incidental, special, or consequential damages, including lost profits or business opportunities.
16. Events Outside Our Control
All of Me Inspired will not be liable for delays or failure to fulfill an order due to events beyond its reasonable control, including natural disasters, carrier disruptions, supplier failures, manufacturing delays or government actions.
Affected orders will be fulfilled as soon as reasonably possible.
If fulfillment becomes impossible, All of Me Inspired will refund the amount paid for products that cannot be supplied.
17. General Terms
These Wholesale Terms, the applicable invoice, and any written order confirmation constitute the entire agreement between the parties regarding the order.
Any modification must be agreed to in writing.
If any provision is found unenforceable, the remaining provisions remain in effect.
The version provided with the applicable invoice governs that order.
18. Governing Law and Jurisdiction
These Wholesale Terms and all wholesale orders are governed by the laws of the State of Utah, United States.
Any dispute arising from these Wholesale Terms or a wholesale order will be subject to the jurisdiction of the appropriate state or federal courts located in Utah.
